Compliance

Job Responsibilities:

 

  • Ensuring compliance of Collective Investment Scheme(s) with NBFC Rules and Regulations.
  • Assisting Supervisor/Sr. Management in correspondence with the Commission and Regulator(s) on behalf of AMC.
  • Provide direction and establish guidelines for subordinates in performing effective KYC and AML activities.
  • Monitor and review KYC and AML activities from time to time and report identified exceptions to Sr. Management (if any).
  • Monitor and report exceptions observed from company existing policies to Supervisor/Sr. Management with remedial actions (if any).
  • Provide guidance to department subordinate(s) in developing various reports/Compliance purposes.
  • Coordinate with other concerned departments for ensuring compliance with NBFC Rules and Regulations.
  • Preparation and drafting of Minutes of Meetings of Board Sub-committees and perform secretarial function where required.
  • Report to members of the Investment Committee on compliance and risk management of Collective Investment Schemes from time to time.
  • Provide latest updates and feedback on amendments in the NBFC Regulatory Framework to concerned departments.
  • Suggest from time to time to the Supervisor/Sr. Management on new Risk and Compliance activities, trends and practices in the industry.
  • Maintain follow up on internal audit observations and other directives issued by the Sr. Management/Board sub-committees.
  • Coordinate with SECP on investor’s complaint and other matters.
  • Perform tasks that may be assigned from time to time.

Required Competencies to successfully perform:

  • Strong knowledge and exposure to NBFC’s Regulatory Framework
  • Strong Team Management skills – a team player with outstanding work ethics and high level of motivation & persistence
  • Effective Communication Skills (written and verbal both) – to be able to prepare legal reports, proposals, job descriptions, policies and procedures.
  • Strong Negotiation Skills and the ability to counsel.
  • Strong Analytical Skills
  • Interpretation of Corporate Laws

Required Education & Experience:

  • Minimum Bachelor’s degree in Finance/Law/ Professional Qualifications from a reputable / HEC recognized institution or from a renowned local/ foreign university / accounting body.
  • 5-8 years of relevant experience.

Key Responsibilities

  • Ensure adherence to SECP shariah guidelines and other regulatory requirements related to Shariah governance.
  • Ensure that business of shariah compliant funds are in conformity with Shariah principles and rules.
  • Stay updated with changes to the Shariah Governance Regulations and assist in ensuring the company complies with new regulations.
  • Act as a liaison between the company and the Shariah Advisors.
  • Assist in organizing and conducting shariah compliance training sessions for employees.
  • Participate in product reviews and provide input on Shariah compliance considerations.
  • Assist in preparing and submitting shariah compliance reports to senior management, board of directors and regulatory authorities etc.
  • Assist in preparation of responses to internal audit observations related to shariah products activities.
  • Assist Head of Compliance in reviewing all the shariah product proposals and related agreements, contracts, manuals, process flows.
  • Respond to any inquiries from the SECP or other regulatory bodies regarding Shariah compliance issues.
  • Other duties/task as assigned by the Head of Compliance

 

Education

  • Bachelor’s Degree from a recognized university with Certificate or diploma in Islamic Finance.

 

Requirements

  • Basic understanding of Shariah Governance Regulations and general Shariah compliance principles.
  • Strong attention to detail and organizational skills.
  • 1-2 years of experience in Shariah.

The candidate will play a critical role in supporting the company’s legal affairs, ensuring compliance with relevant laws and regulations, and providing legal guidance on matters related to mutual fund operations, corporate governance, and other legal issues.

Job Requirements:

  • Advise on matters related to corporate governance, including compliance with applicable regulatory framework on NBFCs and notified entities.
  • Assist in the management of litigation, arbitration, or dispute resolution processes
  • Coordinate with external legal counsel where necessary, and represent the company in legal proceedings/hearings as and when required.
  • Identify legal risks and assist in the development of policies and procedures to mitigate those risks.
  • Assist with the preparation and submission of required regulatory filings with the SECP and other relevant authorities, ensuring timeliness and accuracy.
  • Assist in drafting and legal vetting of business contracts/agreements and or any other documents
  • Assist in the development and implementation of internal policies and procedures related to legal and regulatory compliance
  • Any other task as may be assigned by Head of Compliance or Senior Management.

Required Competencies:

  • Strong understanding of Pakistan’s legal and regulatory framework, particularly financial services.
  • Familiarity with SECP regulations, Companies Act 2017, and other relevant financial laws.
  • Excellent contract drafting and negotiation skills.
  • Strong research and analytical skills.
  • Ability to communicate complex legal issues clearly to non-legal stakeholders.
  • Detail-oriented with the ability to prioritize and manage multiple tasks.
  • Eligibility to appear before into district and high courts.

Required Education & Experience:

  • Minimum LLB (Bachelor of Laws) from an HEC recognized university.
  • Minimum 8-10 years of relevant experience in litigation, corporate laws and advisory preferably in the financial services or mutual fund industry.
